LICENSOR & LICENSEE

LICENSOR: Frank De Baere (Partura Music™)
LICENSE TYPE: Commercial/Proprietary Use License
PRODUCT: ModusPractica v2.0 and all associated components

GRANT OF LICENSE

Upon payment of the agreed-upon license fee, Licensor grants Licensee a
non-exclusive, non-transferable license to:

1. Use the ModusPractica source code and compiled binaries
2. Create derivative works and modifications
3. Integrate ModusPractica into commercial products
4. Distribute ModusPractica without source code disclosure
5. Use ModusPractica in proprietary SaaS/cloud services
6. Sublicense to end-users under your own terms

WITHOUT the requirement to:

- Disclose source code
- Provide attribution (optional)
- Make improvements available to the community

RESTRICTIONS

1. This license is non-transferable without written permission
2. Licensee may not:

   - Reverse engineer protected components
   - Remove copyright notices
   - Use for patent prosecution against Licensor
   - Lease, rent, or time-share the software

3. Patent indemnification: Licensor indemnifies Licensee against patent claims

- Annual renewable license
- Perpetual license option available
- Volume discounts for multiple installations
- Support packages available separately

Payment Terms:

- Net 30 days from invoice
- Annual renewal required (perpetual option available)

SUPPORT & MAINTENANCE

Commercial licensees receive:

- Email support (24-48 hour response time)
- Priority bug fixes
- Custom modifications upon request
- Access to private bug tracking
- Quarterly update briefings

LIABILITY & WARRANTIES

The software is provided "AS IS" without warranty. In no event shall Licensor
be liable for indirect, incidental, or consequential damages.

For critical business applications, SLA agreements are available separately.

INTELLECTUAL PROPERTY

All intellectual property rights remain with Frank De Baere (Partura Music™).
Licensee acquires only the rights specified in this agreement.

ModusPractica is released as Proprietary Freeware (effective January 14, 2026).
Free personal and educational use is permitted under the LICENSE-FREEWARE terms.

This Commercial License is available for parties who require rights beyond the
freeware terms, such as redistribution, integration into commercial products,
or creation of derivative works.
